These terms govern your use of the Adjoltz website and the Adjoltz service. Adjoltz ("we", "us") is based in JVC, Dubai, United Arab Emirates. By engaging us to run WhatsApp marketing for your business, you agree to the terms below. We have kept them short and in plain English.
1. What Adjoltz does
Adjoltz provides done-for-you WhatsApp marketing on Meta's official WhatsApp Business API. Depending on your plan, that includes setting up your WhatsApp Business Account, getting message templates approved, sending broadcasts, building chatbots and flows, running a shared team inbox, CRM and campaign analytics. We operate the channel; the WhatsApp Business Account and your customer relationships remain yours.
2. Pricing and payment
You pay two separate costs:
- Platform fee — a monthly fee for our service, starting from AED 199/month depending on plan. Current plans and inclusions are listed on our pricing section.
- Meta message costs — Meta charges per message sent on the WhatsApp Business API. These are passed through to you at cost, with no markup. Meta sets and may change these rates at any time; when it does, the new rates apply.
Platform fees are billed monthly in advance and are non-refundable once a billing period has started, except where UAE law says otherwise.
3. Your obligations
Because we send messages on your behalf, you agree that:
- Every recipient has opted in. You will only give us contact lists of people who have consented to receive WhatsApp messages from your business, and you can show evidence of that consent if asked. You will honour opt-outs (such as a STOP reply) immediately.
- You will comply with Meta's rules, including the WhatsApp Business Messaging Policy, Meta Business Terms and Commerce Policy, and with all applicable UAE laws and regulations.
- No prohibited content. You will not use the service for content that is illegal in the UAE or banned by Meta, including but not limited to: gambling, adult content, weapons, drugs, deceptive or misleading claims, or spam sent to people who never asked for it.
- Your information is accurate. Business details, sender identity and campaign content you give us must be truthful.
If a campaign you ask for would break these rules, we will decline it. If your account is used in breach of them, we may pause sending immediately to protect your number and ours.
4. Meta dependency
The WhatsApp Business API belongs to Meta, not us. That means:
- Availability, features, template approvals, messaging limits, number quality ratings and per-message pricing are controlled by Meta and can change without notice.
- Meta may restrict or ban a WhatsApp Business Account that violates its policies. We work to keep your account healthy, but we cannot override Meta's decisions and are not liable for actions Meta takes.
- If Meta materially changes or discontinues the API, we will tell you promptly and work out the best path forward together.
5. Limitation of liability
We run the service with care and skill, but marketing results depend on your offer, your list and your market, so we cannot guarantee specific outcomes such as revenue, reply rates or delivery rates. To the maximum extent permitted by UAE law, Adjoltz is not liable for indirect or consequential losses (such as lost profits or lost data), and our total liability arising from the service is capped at the platform fees you paid us in the three months before the claim arose. Nothing in these terms excludes liability that cannot be excluded under UAE law.
6. Termination
Plans are monthly. You can cancel at any time with notice before your next billing date; service continues to the end of the paid period. We may suspend or end the service if you breach these terms (especially the opt-in and content rules in section 3) or if Meta withdraws API access. On termination we will hand over your WhatsApp Business Account, templates and contact data, and then delete our copies in line with our Privacy Policy.
7. Privacy
How we handle personal data, both yours and your customers', is described in our Privacy Policy, which forms part of these terms.
8. Changes to these terms
We may update these terms from time to time. The date at the top always reflects the latest version, and material changes will be communicated to active clients before they take effect.
9. Governing law
These terms are governed by the laws of the United Arab Emirates. Any dispute that we cannot resolve amicably falls under the exclusive jurisdiction of the courts of Dubai, UAE.
